What ArcLaunch is

ArcLaunch is software that helps you plan a business, prepare a state formation filing, find your first customers, and keep track of what falls due afterwards. It is a tool you operate. It does not operate the business for you.

What ArcLaunch is not

ArcLaunch is not a law firm, not an accounting firm, and not a registered agent. The formation material it prepares, including operating agreements, is a template and general information. It is not tailored to your situation and it is not legal or tax advice. For advice about your specific circumstances, talk to a lawyer or an accountant licensed where you are.

ArcLaunch explains the tradeoffs between entity types and between states so that you can make an informed choice. Choosing is yours.

ArcLaunch makes no promise about income, revenue, clients, or business outcomes, and nothing in the product should be read as one. Starting a business is risky and most of the outcome is your work and your market.

State fees

Fees charged by a state are paid to that state. ArcLaunch does not mark them up and does not take a share of them. Where ArcLaunch shows a fee, it is showing you the state figure it recorded, with the date it was last checked and a link to the agency that publishes it. States change fees without notice, so confirm the current figure with the agency before you pay.

Your account

Keep your password to yourself and tell us promptly if you believe someone else has your credentials. You are responsible for what happens under your account. Workspaces can have more than one member, and members you invite can see and change the workspace content you share with them.

Plans, payment, and cancellation

Paid plans bill monthly in advance through Stripe until you cancel. Cancelling stops the next charge and leaves you on the free plan at the end of the period you already paid for. Export stays available on the free plan, so cancelling does not strand your data.

Prices can change. If a price changes for a plan you are already on, you are told before the change takes effect and you can cancel first.

Your content

What you create in ArcLaunch is yours. You give ArcLaunch permission to store, process, and display it only so far as running the product requires. That permission ends when you delete the content or the account.

Using it fairly

Do not use ArcLaunch to break the law, to impersonate someone, to send unsolicited bulk messages, to interfere with the service, or to try to reach data belonging to another customer. Outreach features send from your own connected mailbox and you remain responsible for what you send and for the rules that apply to it.

Availability and liability

ArcLaunch is provided as it is, without warranty of any kind. It is not guaranteed to be uninterrupted or error free, and it is not a system of record for a legal deadline. Compliance dates it shows are reminders to act, computed from published rules, and the agency that set the deadline is the authority on it. Confirm anything that carries a penalty.

To the extent the law allows, ArcLaunch is not liable for indirect or consequential losses, including lost profits or missed filings, and total liability for any claim is limited to what you paid in the twelve months before it arose.

Some places do not allow these limits, and where that is so, they apply only as far as the law permits.

Ending it

You can stop at any time by cancelling and deleting your account. ArcLaunch can suspend or close an account that is breaking these terms, and where circumstances allow, you get notice and a chance to export first.

Changes and contact

These terms change as the product changes. The date at the top moves when the substance moves, and material changes are announced in the app. Continuing to use ArcLaunch after a change means the new terms apply.
